Grand Prize Promotions/Contract / Invoice #: 1149988S
Promotion Responsibilities: GPP, as instructed above, shall be solely responsible for the provision of prize insurance services in connection with the Promotion
and when applicable, the preparation and procurement of winner affidavits, release forms, winner 1099 tax forms, signage, state registration, bonding, and data
collection. Unless specifically requested and agreed to by both parties in Exhibit B, Company will be the solely responsible for all other aspects of the Promotion,
including, without limitation, the design, administration, execution and fulfillment of the Promotion, random drawing or judging (as applicable) to determine prize
recipients or anything related to the Promotion such as the official rules for the Promotion (the “Official Rules”) and Promotion related disclosures, fulfilling prizes
to the Promotion winner(s), other documentation, and ensuring that the Promotion maintains compliance with all applicable federal, state and local laws, rules and
regulations.
Company represents and warrants they (i) will be responsible for ensuring their execution of the Promotion aligns with the insurance parameters and instructions
set forth by GPP and complies with all such laws and regulations, that all legal requirements, including the provision of official rules for state registration and
bonding, if required by the terms of the Promotion, have been or will be satisfied; (ii) have the legal right, power and authority to enter into and fully perform this
Agreement in accordance with its terms; (iii) will maintain any consumer information in connection with the Promotion received from GPP in compliance with a
privacy policy, and (iv) have the skills and expertise to fulfill this Agreement.
Unless specifically requested and agreed to by both parties in Exhibit B, Company or one of Company’s affiliated entities (and not GPP) shall be listed as the
“Sponsor” in the Official Rules for the Promotion (if applicable). Company shall include GPP as a “Released Party” in the Official Rules pursuant to which
participants agree to release and hold such Released Parties harmless from and against any and all claims, actions and/or liability for injuries, loss or damage of
any kind, arising from or in connection with entry or participation in the Promotion, participation in any Promotion-related activity or the acceptance, possession,
use or misuse of any prize.
Indemnification: Company will defend, indemnify and hold GPP and GPP’s parent company, subsidiaries, affiliates, assigns and licensees, and each of the
foregoing entities’ officers, directors, employees, representatives and agents, harmless from and against any and all third-party claims, damages, liabilities,
demands, and causes of action, and any expenses (including, without limitation, reasonable attorney’s fees) associated therewith arising out of or resulting from:
(a) GPP’s prize insurance services; (b) if outlined in Exhibit B and contracted by Company do so, any agreements with and/or action or inaction by third parties
engaged by GPP in connection with the promotion, operation, administration, or fulfillment of the Promotion; and (c) any prizes awarded in connection with the
Promotion.
General Promotion Guidelines: Company acknowledges the following guidelines outline the primary regulations to be incorporated by GPP in connection with
the provision of their promotion prize insurance services (also further outlined in Exhibit A);
Contestant(s) of the Promotion must receive clear instructions outlining how to participate in the Promotion within a specified timeframe. The type of participation
(i.e., skill-based contest basketball lay-up, free throw, odds- based dice roll, etc.) must be consistent with the parameters outlined in Exhibit A. To be eligible for a
Promotion prize, a contestant must complete their participation in the Promotion in a manner that aligns with a successful winning attempt per Exhibit A and
consistent with the instructions provided to contestant by Company prior to participation.
Participation in the Promotion must be completed within the timeframe specified to be eligible for the specified prize.
For skill-based contests, no part of the contestant’s body or clothing may come in contact with or cross the respective demarcation lines prior to a contestant
executing their participation attempt(s) in the Promotion. A foot fault (contestant’s foot touching or crossing over the respective demarcation line(s)) will disqualify
a contestants attempt
Company must appoint a representative and one non-participating witness to supervise the Promotion. It is the responsibility of the representative to ensure that
all parties involved in the Promotion are fully aware of all terms and conditions of this Agreement and the Promotion.
Promotion Contestant or Winner Selection Parameters: Only the selected contestant(s) or winner(s) identified by Company are eligible to participate in a
Promotion or receive a prize. Contestant and winner selection is non-transferable. Failure of contestant(s) or winner(s) to follow timing requirements for prize
receipt may result of forfeiture of participation or prize eligibility.
If the Promotion will be a skill-based contest, contestant(s) may not:
– Be notified of the exact contest they will be attempting to complete until immediately prior to the start of the contest.
– Have any warm-up or practice attempts for the contest under any circumstance once they have been notified as a contestant.
– Be re-selected during the contest period covered by this Agreement once selected as a contestant.
The following classes of people will be ineligible to participate in the Promotion; employees, officers, and directors of client, Company and GPP, their respective
parent and affiliated companies, subsidiaries, distributors, dealers, retailers, printers, advertising, and promotion agencies, any and all other companies
associated with the Promotion, and the members of the immediate families or households of any of the above.
For skill-based Sports contests, the following will also be ineligible to participate in the Promotion; Current or former professional, semi-professional or Olympic
players worldwide or coaches who have played or coached the sport specified in the contract at that level anywhere in the world. Current or former college or high
school players or coaches (includes Freshman, Junior Varsity and Varsity for both men’s and women’s teams) who have played or coached the sport specified in
the contract at that level within the past six (6) years. Additionally, eligibility restrictions (if any) may be listed in Exhibit A.
Prize Claim Requirements: In the event that an eligible contestant for the contest successfully attempts and completes the Promotion requirements, the
contestant will be eligible to win the specified prize, subject to verification and approval by GPP.
In the event of a successful attempt, for there to be an eligible claim, Company must provide:
– Written notification to GPP within one (1) business day from the date of the successful attempt;
– Required video within five (5) business days of Promotion event date, if applicable;

– The official contestant affidavit of eligibility form signed by contestant in question prior to their attempt (if required);
– The complete name, mailing address, and phone number of the contestant;
– The complete name, mailing address, and phone number of the witness;
– The complete name, mailing address, and phone number of the Promotion representative;
– A completed W-9 form from the contestant.
No family members, friends or any other person will be allowed to accept the prize or participate in the Promotion on behalf of the selected contestant.
Certified affidavits and recorded statements may be required of the Promotion representative and witness to verify the Official Rules and terms of this Agreement
have been met.
A polygraph test given by a professional polygraphist may be required of anyone involved in the Promotion to further verify any claim. A polygraph test which
reveals any fraudulent activity or any non-compliance with the Official Rules and terms of this Agreement may result in a claim denial and associated expense of
polygraph testing.
Failure of Company or Promotion representative to adhere to the Official Rules and terms of this Agreement will result in a claim denial.
Advisory Notice Regarding Sanctions: In advance of issuing any claim payments for this contract, AHNO will verify that issuance would not expose the
company to any sanction, prohibition or restriction under United Nations resolutions or the trade or economic sanctions, laws or regulations of the European Union
or the United States of America, including but not limited to sanctions, laws and regulations administered and enforced by the U.S. Treasury Department’s Office
of Foreign Assets Control (“OFAC”).
General Conditions: GPP hereby agrees to provide the Prize(s) or the actual cost up to the agreed value of the Prize(s) as stated in this Agreement to the
Company, for whose exclusive benefit this Agreement is made, for award by the Company to the winner of the Prize(s) on the date(s) as specified in the Official
Rules of the Promotion.
Promotion prize award obligation is conditioned upon full compliance with all of the terms specified within this Agreement. In the event that the actual conditions of
the Promotion are materially different from those represented by the Company, this Agreement shall be null, and void and any prize coverage fees forfeited unless
such changes are made with express written consent of GPP.
This Agreement must be signed, and premium paid, for coverage to be in place prior to the start of the Promotion.
Any desired changes to this Agreement such as Promotion dates, event location, attempts, or prize value, among others, will require written notification and
approval by GPP prior to the start of the applicable Promotion.
If the Promotion in question is canceled due to a force majeure which prevents the conducting of the Promotion, assuming no attempts to win the prize were
initiated, a full refund less applicable contract fee or any additional costs incurred will be made, or this contract may be amended to incorporate rescheduled dates
without additional charges. GPP must be notified in writing of any canceled or rescheduled Promotion dates.
The names, likenesses, photo, video recordings furnished by Company to GPP may be used for marketing purposes by GPP without any compensation.
The aggregate prize value payable by GPP shall be limited to the “Aggregate Prize Value” referenced above in this Agreement.
Miscellaneous: This Agreement sets forth the entire agreement between the parties with respect to the subject matter hereof, and all negotiations and
understandings are merged herein. This Agreement may not be changed except by an instrument in writing signed by the parties hereto. The parties agree that
each is acting as an independent contractor with respect to the other and that neither shall have the power or authority to bind or obligate the other except as
expressly provided herein. The rights and obligations contained herein which, by their nature, are intended to survive, shall survive the expiration or termination of
this Agreement. Any waiver of any breach of any provision of this Agreement shall not constitute a waiver of any subsequent breach of the same or any other
provision. GPP, in its sole discretion, may assign, transfer, delegate and/or grant all or any part of its rights, privileges, obligations and property hereunder to any
person or entity. This Agreement may not be assigned by GPP without Company’s prior written approval. This Agreement is governed by, and is to be interpreted
in accordance with, the laws of the State of Georgia and the federal laws of the United States of America without reference to conflict of laws provisions. Any
controversy, claim, or dispute arising out of or relating to this Agreement, including, without limitation, the interpretation, performance, formation, validity, breach,
or enforcement of this Agreement, and further including any such controversy, claim, or dispute against or involving any officer, director, agent, employee, affiliate,
successor, predecessor, or assign of a party to this Agreement, will be adjudicated fully and finally by binding arbitration to the fullest extent allowed by law. The
seat of the arbitration will be Gwinnett County, Georgia. This Agreement may be executed in any number of counterparts, each of which, when executed and
delivered, shall be an original, and all of which together shall constitute one and the same Agreement. Scanned copies of signatures of this Agreement shall be
deemed originals for all purposes.

EXHIBIT A
1. CONTEST REQUIREMENTS:
1.1 An Eligible contestant must roll the winning word/symbols/logos to win the grand prize.
1.2 The contest administrator and one non-participating witness must supervise each dice roll attempt.
1.3 If using small dice, each eligible contestant must roll all dice out of an oversized cup. If the contest is for
oversized dice, the contestant must roll all dice one at a time or all at one time. Contestants are not permitted to
take any practice or warm-up tosses prior to their attempt. Once a die has been rolled, their attempt is considered to
be started. If a contestant elects to roll the dice one at a time, their attempt is immediately ended following the first
die that lands with a non-winning symbol face up. Contestants may not attempt to change the outcome of any rolled
die by hitting the die with a subsequent roll attempt. Each die must be tossed in a way that does not allow the
contestant to “set” the dice, alter or influence the random outcome of the roll.
1.4 If using small dice, each die must be rolled a minimum of two (2) feet in distance from the contestant and make
a minimum of two (2) complete rotations while in the air, in order to prevent the contestant from altering, affecting,
influencing, or enhancing the random outcome of any roll. If using oversized dice, each die must be tossed a
minimum of (4) feet in height, make a minimum of two (2) complete rotations while in the air and must roll a minimum
of ten (10) feet in distance from the contestant. The contest administrator will designate the demarcation line that
each die must cross during the roll attempt;
1.5 All dice must come to rest lying flat. No rolled dice may come into contact with any person or object other than
the designated rolling surfaces or walls.
1.6 If any die comes in contact with another person or object (other than the dice roll surface or designated walls or
backstop) for any reason; or if any person or object in any way interferes, alters, changes, influences or affects the
random outcome of the roll, then the entire attempt is disqualified, and the contestant may not receive another
attempt.
1.7 If any of the following outcomes occur, that dice roll attempt is disqualified and the contestant will be granted a
maximum of one re-roll attempt (the contestant must re-roll all dice). a) If the die has failed to cross the dice roll
demarcation line, b) if any die is leaning in any manner, c) if any dice leaves the designated dice roll playing surface,
and d) if any contestant inadvertently drops a die as they are preparing to roll, and the drop die does not meet
eligible dice roll requirements. In the event of a second ineligible dice roll, their entire dice roll attempt will be
disqualified and the contestant will not be eligible for any prize claim regardless of the outcome of their roll.
1.8 Each eligible dice roll attempt must be recorded on video. Any dice roll attempt that is not recorded on video will
not be considered eligible for a claim under the terms of this contract. The individual operating the video device must
record and make sure that the video device is positioned so that all of the following can be clearly viewed on the
video: a) Full view of the designated surface on which all dice are to be rolled, b) Each contestant signing the official
contestant sign-in registration form immediately prior to their attempt, c) The contestant’s actual dice roll attempt
showing the contestant rolling the dice, d) The outcome of each of the dice as it comes to rest on the designated
rolling surface, e) The side that lands face up on all dice must be clearly visible on the video, f) Once the dice are
rolled, no one may touch any die until the video device clearly shows the symbol on the side landing facing up for
each of the dice. If a winning roll, the camera should zoom in showing the winning symbols face up on the dice. In
the event of a claim, the entire sequence of events for the winning dice roll attempt must be provided on continuous,
unedited, uninterrupted video.
2.0 CONTEST MATERIALS REQUIREMENTS:
2.1 GPP will provide custom printed dice that must be used for this contest. No other die may be used for this
contest. The die provided by GPP may not be tampered with, altered, “loaded,” or manipulated in any way to

enhance the outcome of any roll.
2.2 Each individual winning symbol will be represented a maximum of one time among the entire set of die.
2.3 GPP will provide an official contestant sign-in form to be signed by each contestant prior to their dice roll attempt.
3.0 CLAIM REQUIREMENTS
3.1 In the event an eligible contestant rolls all dice in a random manner and each die comes to rest with its
designated winning word/symbols/logos face up, the designated contestant will be eligible for the grand prize,
subject to verification and approval by GPP.
3.2 In the event of an eligible claim, client must notify GPP within one (1) business day from the date on which a
contestant successfully completes the prize winning requirements, provide GPP with the name, address, and phone
number of the eligible contestant, a complete W-9 form, copy of the entire official contest sign-in registration form
signed by each contestant prior to their dice roll attempt, the video recording each of the items as required above
and the name, address, and phone number contest administrator and appointed witness. Failure to provide a copy of
the video recording as required will result in a claim denial.
3.3 The winning contestant must be the participant who originally signed the official registration sign-in form and
participated in the contest.
